Aug 20th, 2010 - Four Seasons Health Care calls for Noteholder meetings to vote on resolution to extend loan
Four Seasons Health Care (the Group) has requested Titan Europe 2006-4 FS p.l.c. (Titan) to convene meetings of its Noteholders to vote on resolutions to extend the maturity date of the £790 million Four Seasons Whole Loan.
The Group is asking Noteholders of £425 million Class A1 and £175 million Class A2 Commercial Mortgage Backed Floating Rate Notes to approve proposals that would provide improved economic terms under the Notes in return for agreement to an extension of the loan from 3 September 2010 to 3 September 2012.
Approval of the proposals requires 75% by value of each class of Noteholders voting in favour. Following consultation over several months, the holders of over 75% of the Notes of each class carrying the right to attend and vote have signed lock up agreements undertaking, subject to certain conditions, to vote for Extraordinary Resolutions to approve the proposals to extend the maturity date of the loan. The meetings are to be held on 10 September.
